Both of those motherboards have more than enough have really similar perks. MSI Gaming Pro Carbon is just a fancy version of the MSI Gaming Pro board. If the lightning isn't a must for you just go for the Asus board. Even if the boards are really similar Asus Z170 is among the best LGA1150 boards in terms of reviews.
Don't by R380. GTX960 outperforms R380, and GTX960 is cheaper card. If you have the money 970 is the best choice. The "ram issue" isn't a ram issue in 970. The card actually is more powerful when it uses just 3.5GB of the 4GB ram. On otherhand it is fixable if you want to access the full 4gb ram, but using 4gb ram without 4k is near impossible and 970 isn't a card you're going to use for 4k anyways so it isn't a problem. Majority of people understood wrong the case with 970's ram issue so probably everything you have heard is false.
