If your talking about streaming then your connection is the most limiting factor. You could have an X79 based build touched by Lord Gaben himself, but it would stream like an African's piss in a drought if you had a shit connection.

I want to be able to stream with NO LAG and get better quality.

AMD FX-9370 Black Edition 4.4ghz boost to 4.7ghz( Including liquid cooling ), 12GB RAM 1TB GTX 760 2GB OC
With a gaming capture recording (both same price) either
Avermedia AVM-C285 Game Capture HD II ( records at 1080P )
OR
Avermedia C875 Live Gamer Portable ( RECORDS AT 720P )
TOTAL COST: $700
IS it worth it? would i get alot better IMPROVEMENT?

Why in god's name do you need a capture system? You're not going to get much better framerate circumventing your hardware.
Plus, the 9370 is a shit processor, either go for an FX 8000 series, or switch over to Intel.

the real question is , is $299 worth the PROCCESSOR ? Would it be alot better for gaming?

Considering the fact that the 9370 doesn't even gain much over the 8000 series, that it eats 220W, and overheats to hell and back, no. I'm all for getting the best tech for the price, but for the range AMD doesn't cut it. If you're open to switching Mobo's, the i7-4770 is prety much the best CPU for your budget, and runs a lot cooler and more efficiently.

are you 100% sure the i7-4770 3.4ghz is better then the AMD FX-9370 Black Edition 4.4ghz
i was talking to the store manager for 30mins, he kept telling me i got the i5 3470 3.2ghz, that if i buy the i7 4770k 3.5ghz it wont even make a difference, just a tinny difference, he told me to get the capture card and thats about all i need.
Does anyone agree with this or would the CPU Make a BIG difference?

Streaming is incredibly CPU dependant as you're doing real-time video encoding. An upgrade would make a big difference.
