Getting a new cpu won't help exactly. It won't change that pcie bus to 2.0, but obviously, get the best quad-core available.
I checked the specs of the mobo, and unless you wanna go to pcie2, you'll need a new mobo.

When he's done upgrading it's gonna be a new PC... Mobo x68/x77/AM3+, Cpu i5/i7/Phenom II x4, Cpu Cooler (Corsair H60/H70/H80/H100/Antec Kuhler H20 620/920), Memory (Corsair/Kingston) DDR3 1600), WD 10k HD or SSD, then add your PSU & the GTX 560 you already have...

No offense but why would he need water cooling?

I call it Entry Level Water Cooling... It's not really a big issue, it's his choice if he goes with air over water...

Water would drop his temps much cooler than air would...

Air cooling is fine, if you have decent air flow in your case, even if you overclock by more than 1.0GHz you'll probably won't reach 70c.

You have to excuse me, where i live gets very hot and from experience air cooling wasn't cutting it for me... So i went to full water cooling (Dual Loop Setup), now 25 degrees idle 45 degrees full load... It would drop even lower since i got my Game Room (Air Con)...

You need to change some of the game setting in GTA 4 to be able to get higher fps (Shadows, Etc)

The x2 250 can play it on medium & low setting... You might need to upgrade your CPU to a Phenom II X4 forget about the FX Series...
