What's your operating system? - if 32bit try to edit bat file to 1GB.

That's most likely the problem.. You need 64 bit Java if you're running on a 64 bit computer. So, if you go to the downloads page, make sure you get the download that's either x86 or it actually says 64 bit.

Rename your bukkit jar file to craftbukkit
Make sure the bat file is in the same location as the jar.
