lol.......Heaps!
the main differences are:
1. The syntax of the code is different
2. VB.NET uses .NET framework, c++ doesn't
If you are trying to decide which to learn, go for C++, way better. Way more powerful. Way faster.
What is the Difference Between { Visual Basic . NET } And { C++ } !

_corn_'s view is rather simplistic and there are a tonne of other factors to consider when choosing a language. At the end of the day, if you're really into programming you'll end up with a whole bunch of languages you can call on.
There are pros and cons to any language, this sort of discussion has been done to death on multiple occasions in the Coder's Lounge and various other sub-forums so do some searching as I can't be bothered typing out the same exact answer for the 50000th time.

Eh, just learn one, then the other. Eventually you'll know the differences subconsciously.
Well it really depends what you want to program... if you are going to make hacks, I suggest C++, loaders/injectors maybe VB.NET
